We are seeking a qualified and experienced Company Secretary Manager
with mandatory exposure to Listed Company compliances and End-to-End
IPO execution.
Key Responsibilities:
Ensure compliance with the Companies Act, 2013, SEBI (LODR)
Regulations, Secretarial Standards, FEMA, and other applicable laws.
Manage Board Meetings, Committee Meetings, AGM/EGM proceedings,
statutory registers, resolutions, and corporate records.
Handle Stock Exchange filings, disclosures, corporate announcements,
and governance-related compliances.
Monitor insider trading regulations, related party transactions, and
other listed entity requirements.
Listed Company Experience (Mandatory)
SEBI (LODR) compliances and Stock Exchange filings
Quarterly, half-yearly, and annual compliance requirements
Corporate governance reporting and regulatory disclosures
Board and Committee management
Continuous disclosure and investor-related compliances
IPO Experience (Mandatory)
Candidates must have actively participated in at least one End-to-End
IPO process, including:
IPO readiness assessment and corporate restructuring
Secretarial and legal due diligence
Preparation and review of DRHP/RHP documentation
Coordination with Merchant Bankers, Legal Advisors, Auditors,
Registrars, SEBI, NSE, and BSE
Managing regulatory approvals and compliance requirements
Supporting issue opening, allotment, listing, and post-listing activities
Desired Profile
Qualified Company Secretary
5+ years of relevant experience
Mandatory exposure to Listed Company compliances
Experience in at least one End-to-End IPO process
Strong knowledge of SEBI Regulations, Companies Act, Stock Exchange
Compliances, and Corporate Governance
Important Note: Practical experience in both Listed Companies and
End-to-End IPO execution is mandatory. Candidates without hands-on
exposure to listed entity compliances, stock exchange filings, IPO
execution, and listing activities will not be considered.
