CERTIFIED TRUE COPY OF THE RESOLUTION PASSED AT THE MEETING OF THE BOARD OF DIRECTORS OF ABC PRIVATE LIMITED HELD ON __________ AT ______ A.M./P.M. AT THE REGISTERED OFFICE OF THE COMPANY

Authorization for Execution and Registration of Supplemental Trust Deed

The Chairman informed the Board that pursuant to the earlier resolution passed by the Board approving the formation of a shareholders’ liquidity trust, it is now proposed to execute a Supplemental Trust Deed in connection with the said trust and to complete the necessary formalities relating to its registration before the jurisdictional Sub-Registrar.

The Board considered the matter and after due deliberations, passed the following resolutions unanimously:

“RESOLVED THAT pursuant to the provisions of the Companies Act, 2013, the Articles of Association of the Company and subject to such approvals, permissions and sanctions as may be necessary, consent of the Board be and is hereby accorded to authorise Mr./Ms. XYZ and/or Mr./Ms. ABC, Directors/Authorised Representatives of the Company, to execute and sign the Supplemental Trust Deed on behalf of the Company and to appear before the concerned Sub-Registrar or any other statutory authority for the purpose of registration of the said deed and to complete all related formalities.

RESOLVED FURTHER THAT Mr./Ms. XYZ be and is hereby authorised to do all such acts, deeds, matters and things as may be necessary or expedient for giving effect to this resolution including signing, filing and submission of documents, payment of applicable stamp duty and registration fees, making representations before authorities and delegating such powers as may be required.

RESOLVED FURTHER THAT any Director or the Company Secretary of the Company be and is hereby authorised to issue certified true copies of the foregoing resolutions as may be required.”
