MUTUAL NON-DISCLOSURE AGREEMENT

Professional & Comprehensive Framework

This Non-Disclosure Agreement (the "Agreement") is entered into and made effective as of the date specified below, by and between the undersigned parties:

Party Role

Party Details

Disclosing Party:

Name: _____________________________________
Mailing Address: _____________________________

Receiving Party:

Name: _____________________________________
Mailing Address: _____________________________

WHEREAS, the parties wish to explore a potential business relationship, and in connection with this relationship, the Disclosing Party may disclose proprietary and confidential information. The parties agree to establish a confidential relationship to protect such information against unauthorized use or disclosure.

1. Definition of Confidential Information

For the purposes of this Agreement, "Confidential Information" shall encompass all information, data, materials, documents, or know-how that has or could possess commercial value or utility in the business conducted by the Disclosing Party.

• Written Information: If provided in written or tangible form, the Disclosing Party shall explicitly label or stamp the material with the legend "Confidential" or a comparable restrictive notice.
• Oral Information: If disclosed orally or visually, the Disclosing Party shall summarize the communication in writing and deliver such summary to the Receiving Party within thirty (30) days of the initial disclosure, confirming its confidential nature.

2. Exclusions from Confidential Information

The strict obligations of the Receiving Party under this Agreement shall not apply to any information that:
(a) Is or becomes publicly known through no breach of this Agreement by the Receiving Party;
(b) Was already in the lawful possession or known to the Receiving Party prior to disclosure by the Disclosing Party, without an obligation of confidentiality;
(c) Is independently developed by the Receiving Party without reference to or reliance upon the Disclosing Party's Confidential Information; or
(d) Is rightfully obtained by the Receiving Party from a third party free to disclose it without restriction; or
(e) Is explicitly approved for release by prior written authorization of the Disclosing Party.

3. Obligations and Standard of Care

The Receiving Party covenants and agrees to hold and maintain all Confidential Information in the strictest confidence, applying the same degree of care it uses to protect its own confidential information of like nature (but no less than a reasonable degree of care). The Receiving Party shall restrict disclosure of such information solely to those employees, legal counsel, and professional advisors who have a direct need to know and who are bound by confidentiality obligations at least as restrictive as those contained herein. The Receiving Party shall not exploit, copy, reverse engineer, or use the Confidential Information for its own commercial gain or for any purpose other than evaluating the contemplated business relationship. Upon written request by the Disclosing Party, the Receiving Party shall promptly return or securely destroy all tangible records, notes, and materials containing Confidential Information.

4. Term and Duration

The confidentiality covenants detailed herein shall survive the termination of any underlying business relationship. The Receiving Party's duty to safeguard Confidential Information shall persist until such time as the information no longer qualifies as a trade secret under applicable law, or until the Disclosing Party provides explicit written release from this Agreement, whichever occurs first.

5. Independent Relationship

Nothing contained in this Agreement shall be construed as creating a partnership, joint venture, employment, agency, or franchise relationship between the parties. Neither party possesses any authority to bind or obligate the other party in any manner whatsoever.

6. Severability

If any provision, clause, or covenant of this Agreement is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall remain in full force and effect.

7. Entire Agreement and Integration

This Agreement constitutes the entire understanding and agreement between the parties regarding the protection of Confidential Information, superseding all prior or contemporaneous oral or written agreements, negotiations, and representations. This Agreement may only be amended or modified by a written instrument duly executed by authorized representatives of both parties.

8. Waiver

No failure or delay by either party in exercising any right, power, or privilege under this Agreement shall operate as a waiver thereof, nor shall any single or partial exercise preclude any other or further exercise of any right, power, or privilege.

9. Whistleblower Immunity Notice

Pursuant to the Defend Trade Secrets Act of 2016 and applicable state laws, an individual shall not be held criminally or civilly liable under any federal or state trade secret law for the disclosure of a trade secret that is made: (i) in confidence to a federal, state, or local government official, either directly or indirectly, or to an attorney, solely for the purpose of reporting or investigating a suspected violation of law; or (ii) in a complaint or other document filed in a lawsuit or other proceeding, if such filing is made under seal. Furthermore, an individual who files a lawsuit for retaliation by an employer for reporting a suspected violation of law may disclose the trade secret to their attorney and use the trade secret information in the court proceeding, provided that the individual files any document containing the trade secret under seal and does not disclose the trade secret except pursuant to court order.

IN WITNESS WHEREOF, the parties hereto have executed this Non-Disclosure Agreement by their duly authorized representatives as of the date set forth below.
