TReDS and Invoice Discounting: Compliance and Risk for MSMEs

TReDS is an RBI-regulated electronic platform on which an MSME can have its accepted invoices financed. It speeds up cash but does not change the legal deadline. The 2026 Amendment Act adds section 15A, which will make TReDS settlement mandatory for Central Public Sector Enterprises and any entities the Government notifies, once the section is commenced.

1. What TReDS does

The 2026 Amendment Act defines TReDS as an electronic platform that facilitates the financing or discounting of MSME trade receivables in accordance with RBI guidelines. The supplier uploads an invoice, the buyer accepts it on the platform, and a financier funds the supplier. The buyer pays on the due date. The mechanics, fees and recourse terms differ by platform and by the RBI rules in force, so check the platform’s current rules.

2. An invoice on its journey

The steps below are illustrative of a typical flow; actual timings depend on the buyer’s approval process and platform rules.

Step

Why it matters for compliance

Delivery and written objection window (15 days)

Fixes the acceptance or deemed acceptance date that starts the section 15 clock.

Invoice uploaded; buyer accepts on the platform

The buyer’s on-platform acceptance is documentary evidence of acceptance and of the amount.

Financier funds the supplier

The supplier receives cash early. The buyer’s obligation to pay on the due date is unchanged.

Buyer pays on the due date

The date, and the account paid into, should be retained for tax and MSME-1 purposes.

Buyer pays late

Interest under section 16 and the other consequences in this compilation continue to apply to the supplier’s principal; consult the platform rules on how late-payment charges are allocated.

3. The 2026 Amendment: section 15A and section 22A

New section 15A requires every Central Public Sector Enterprise to route settlement of invoices from MSME procurement through an RBI-authorised TReDS platform. The Central Government and State Governments may extend this to other authorities, bodies or public sector enterprises by notification. A new section 22A requires CPSEs and notified entities to disclose details of MSME invoices routed and settled through TReDS. The Act comes into force on dates notified by the Central Government, so the obligations bind no one until the relevant commencement. A buyer that is a CPSE should plan its onboarding now, but should not describe section 15A as operative until it is notified.

4. Risk points for MSME suppliers

•      Cost of funds. Discounting converts a receivable into cash at a price. Compare it with the 3× bank rate interest a supplier would be owed on a delayed invoice.

•      Recourse and documentation. Read whether funding is with or without recourse, and what happens if the buyer disputes the invoice.

•      Duplicate financing. An invoice financed on a platform should not be assigned or financed anywhere else.

•      Acceptance risk. TReDS depends on the buyer accepting the invoice. A buyer that does not accept gains time, so the supplier should still document delivery.

5. Risk points for buyers

•      Accept or reject on the platform within the section 15 window, and record the reason for any rejection.

•      Treat platform settlement dates as the payment dates for section 15, MSME-1 and section 43B(h) purposes, and keep the platform’s confirmation. Confirm with your tax adviser how settlement through the platform is treated.

•      Keep a reconciliation of platform settlements to the ledger so that MSME-1 and the section 22 note use the same figures (Articles 4 and 6).
