Disputed invoices. If part of an invoice is disputed, the Buyer shall pay the undisputed part within the period in clause 1 and give written reasons for the part disputed. For the Buyer: [Name, Designation, Signature, Date] Accepted by the Supplier: [Name, Designation, Signature, Seal, Date] |
Drafting notes
• The Supplier’s signature on the Order is what turns the payment term into an agreement in writing between the parties. Keep the signed copy.
• Do not insert a period longer than 45 days for an MSE supplier. A longer clause cannot safely be relied on (Articles 2 and 8).
• Clause 2 mirrors the explanation to section 2(b). Do not shorten or extend the 15-day period.
